Terms and Conditions

General terms and conditions of Felicé Design Studios for commissions, products, and services.

Contractual terms

These terms form the legal basis for business between Felicé Design Studios and the client ordering a product or service. Unless agreed otherwise, they form an integral part of every commission.

A contract is concluded when Felicé Design Studios accepts the client’s order. A proposal is prepared from the information supplied. If that information is inaccurate or incomplete, quoted prices are indicative and may be adjusted.

Unless agreed otherwise, work begins after the agreed advance payment. Amendments and additions must be made in writing and confirmed by both parties.

Rights and obligations of Felicé Design Studios

Felicé Design Studios performs the agreed services carefully and to the best of its knowledge in the client’s interest. Suitable companies, freelancers, or third parties may be engaged where this supports delivery.

If the client breaches an obligation, affected accounts, services, content, or systems may be suspended. Serious or repeated breaches may result in termination and legal action.

Operational and contractual notices may be sent by email. Project files, raw data, or supplied materials do not have to be retained after completion unless written archiving has been agreed.

Copyright remains with Felicé Design Studios unless otherwise agreed. The client receives the agreed usage rights after full payment. Felicé Design Studios may retain examples of completed work and present them as references unless agreed otherwise in writing.

Rights and obligations of the client

The client must pay agreed fees on time, provide complete and accurate information, maintain backup copies of supplied files, and review delivered work promptly.

After full payment, the client receives usage rights to the agreed final result. Drafts, concepts, source files, source code, templates, project files, and raw photo or video material remain the property of Felicé Design Studios unless expressly included.

Responsive implementation is tested for current versions of Chrome, Safari, Firefox, and Microsoft Edge on desktop and Safari and Chrome on mobile. Extended compatibility requires a separate agreement.

Objections must be submitted promptly and in writing after delivery or publication. If no objection is made, the result is deemed accepted. Justified defects are corrected within a reasonable period; a complete redesign is excluded.

The client is responsible for the legality and accuracy of supplied content and must not provide unlawful, discriminatory, pornographic, harmful, or rights-infringing material.

Search engine positions depend on many external factors. Felicé Design Studios does not guarantee specific rankings or commercial results.

Payment terms

Unless agreed otherwise, 50 percent of the total amount is due when the commission is placed.

For longer projects or client-caused delays, interim invoices may be issued for work already completed. Additional or out-of-scope work is quoted separately.

If a project is cancelled, all services performed up to the cancellation date are invoiced.

Recurring services

Unless agreed otherwise, recurring services run for one year and renew on the same terms unless cancelled in writing at least 60 days before renewal.

Domain management and hosting may be provided through third-party resellers. The relevant registry, hosting provider, and data protection terms also apply.

A service-level agreement covers only the scope stated in the relevant proposal or invoice. Work exceeding an agreed allowance may be invoiced separately after notice.

Liability

Felicé Design Studios is not liable for defects or change requests that were not communicated. Liability for intent or gross negligence is limited to direct loss and the value of the relevant service where permitted by law.

Deadlines may shift if the client does not provide feedback, approvals, access, or required information in time. Liability for force majeure, third-party outages, or circumstances outside reasonable control is excluded where legally permissible.

The client is responsible for content and actions connected with their websites, accounts, and systems, including third-party rights, legal compliance, and search engine policies.

Confidentiality and data protection

The general or separately agreed data protection provisions apply. Both parties and their assistants must keep confidential information obtained in connection with the services confidential, including after the contract ends.

Severability

If a provision or attachment is or becomes invalid, the remaining contract remains effective. The parties will replace the invalid provision with a valid provision that comes as close as possible to its intended economic purpose. The same applies to contractual gaps.

(09)

Applicable law and jurisdiction

These terms are governed by German law, excluding conflict-of-law rules. Unless mandatory provisions require otherwise, the competent court at the registered place of business of Felicé Design Studios has jurisdiction.
